1. Preamble and Acceptance

These Terms of Service ("Terms") constitute a binding legal agreement between you (the "User," "you," or "your") and Alsoma Studio ("Company," "we," "us," or "our"). By accessing, browsing, or using the website located at alsoma.studio (the "Site") or accessing any associated digital assets, content, or portals (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY DISCONTINUE USE OF THE SITE.

2. Definitions

"Content" refers to all text, code snippets, architectural diagrams, case studies, graphics, logos, and interactive features displayed on the Site. "Client" refers to an entity that has entered into a separate Master Services Agreement (MSA) with Alsoma Studio for professional services. "External Services" refers to third-party infrastructure, APIs, hosting environments, and payment gateways that facilitate the operation of the Site. "Proprietary Methodologies" refers to the Company's unique workflows, code structures, and strategic frameworks presented on the Site.

3. Scope of Agreement (Site vs. Services)

It is imperative to distinguish between the use of this public Platform and the engagement of our professional engineering services. Public Platform Use: These Terms govern your access to our public-facing information, blog, and portfolio. Professional Engagement: Any engagement for software development, digital infrastructure architecture, or consulting is governed exclusively by a separate written agreement (e.g., Master Services Agreement, Statement of Work, or Proposal Contract). Supremacy: In the event of a conflict between these Terms and a fully executed Client Agreement, the terms of the Client Agreement shall control with respect to that specific commercial relationship.

4. Intellectual Property Rights

The Site and its entire Content, features, and functionality are owned by Alsoma Studio, its licensors, or other providers of such material and are protected by Indian and international copyright, trademark, trade secret, and other intellectual property or proprietary rights laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access the Site for informational and business evaluation purposes only. You are strictly prohibited from: (1) Systematic Retrieval—scraping, data mining, or using automated systems (robots, spiders) to harvest Content or code from the Site for the purpose of training Artificial Intelligence (AI) models or creating a competing database; (2) Reverse Engineering—attempting to decompile, disassemble, or reverse engineer any software or interactive component contained on the Site; (3) Brand Misuse—using the "Alsoma Studio" name, logo, or "Digital Infrastructure" trade dress in a way that suggests a partnership or endorsement without express written consent.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALSOMA STUDIO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION: LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITY; LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES; DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN. THIS LIMITATION APPLIES WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

8. Indemnification

You agree to defend, indemnify, and hold harmless Alsoma Studio and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (1) Your use of and access to the Site; (2) Your violation of any term of these Terms; (3) Your violation of any third-party right, including without limitation any copyright, property, or privacy right.

9. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the courts located in Paonta Sahib, Himachal Pradesh, India. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

10. Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11. Modifications

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Site after those revisions become effective, you agree to be bound by the revised terms.
